    $25 for LLCs and limited partnerships. Corporation fees are $25 + $100 for each county within New York City and $25 for each county outside of New York City.

    Is registration mandatory?:

    Filing an assumed name registration is required for any person or entity intending to conduct business under a fictitious name.

    County Level Filing:

    Sole-proprietorships, general partnerships, and limited liability partnerships file at the county level. All other entities file with the department of state.

    Does registration prevent others from using the name I choose?:

    Registration of an assumed name does not offer name protection.

    • Publication of registration is not required in New York.

    Biennial Statement

    Biennially by the end of the registration anniversary month. So if you incorporated or foreign-qualified on March 15, then your biennial report is due every two years by March 31.

    New York Code - Business Corporation § 408.

    Penalties:

    No late fee. Your corporation loses 'good standing' and is publicly marked 'delinquent' in the Department of State records. Your business can be dissolved or revoked.

    File a written request for a certificate of status by fax or mail. The request must contain: a statement specifically requesting a certificate, the exact entity name, the ID number of the entity, a statement indicating a request for either normal or expedited processing, and a mailing address where the certificate will be sent.

    Every 5 years by the anniversary of initial registration.
